Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Besiltech, a company registered in Maharashtra, India. By using our services, whether from India or any other country, you agree to be legally bound by these Terms.

Services Provided

Besiltech offers professional services including:

  • Website and web application development
  • Mobile application development
  • Digital marketing (e.g., SEO, SEM, PPC, social media management)
  • Cybersecurity consulting and implementation
  • Graphic design and visual content creation


Each service engagement will be governed by a separate contract, proposal, or Statement of Work (“SOW”) that outlines deliverables, timelines, and fees.

Eligibility

You must be at least 18 years old and legally authorized to enter into contracts under the laws of your country of residence.

Payments & Taxes

All prices are quoted in the currency stated in the respective agreement (typically INR or USD).

International clients are responsible for any currency conversion charges, bank fees, or cross-border taxes.

Domestic (Indian) clients are subject to GST as per applicable tax laws.

Payment terms (e.g., milestone-based, upfront, recurring) will be defined in the project agreement.

Late payments will incur a fee of 1.5% per month or the maximum allowed by law.

All payments are non-refundable unless otherwise stated in writing.

Intellectual Property

Upon full payment, the Client receives rights to the final deliverables created specifically for the project.

Besiltech retains the right to reuse general knowledge, tools, libraries, and frameworks developed or used during the engagement.

Besiltech may display non-confidential work in its portfolio or marketing materials unless expressly prohibited in writing.

Data Privacy & Compliance

We will handle personal data responsibly and in compliance with applicable privacy laws, including the Information Technology Act (India) and GDPR (EU) where applicable.

By using our services, international clients consent to the transfer of data to India for processing.

Confidentiality

Both parties agree to maintain strict confidentiality of proprietary or sensitive information shared during the project. This clause survives the termination of the agreement.

Warranties and Disclaimers

All services are provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied. Besiltech does not guarantee that the services will be error-free, uninterrupted, or suitable for a particular purpose.

Limitation of Liability

Besiltech shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of or in connection with your use of the services. Our total liability shall not exceed the amount paid by you for the services in question.

Revisions & Change Requests

Standard projects include a limited number of revisions as stated in the SOW.

Additional changes or out-of-scope requests may incur extra charges and extended timelines.

Termination

Either party may terminate a project agreement with written notice under the terms specified in the project agreement.

Besiltech may suspend or terminate services immediately for non-payment or breach of these Terms.

Upon termination, all unpaid deliverables remain the property of Besiltech.

Force Majeure

We will not be held liable for delays or failure to perform due to events beyond our control, including acts of God, war, internet outages, pandemics, or governmental restrictions.

Governing Law & Jurisdiction

These Terms are governed by the laws of India, specifically the laws of Maharashtra, excluding its conflict of law principles.
For:
Domestic Clients: All disputes shall be resolved in the courts of Mumbai, Maharashtra.


International Clients: Disputes shall first attempt informal resolution; if unresolved, arbitration will be conducted in English under Indian Arbitration law or mutually agreed terms.

Export Control & Sanctions

You confirm that you are not located in a country subject to international trade sanctions and are not listed on any restricted parties list (such as the U.S. OFAC or Indian government blacklists).

Severability

If any part of these Terms is found to be unenforceable, the remainder will continue in full force and effect.

Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email or on our website. Continued use of our services after such updates constitutes acceptance of the revised Terms.
